Tom Gowan is a corporate and bank finance lawyer who, prior to founding his own firm, practiced law for over two decades at Skadden, Arps, Slate, Meagher & Flom LLP, where he served as co-head of the firm’s Global Banking Group. His practice concentrations include commercial financings, workouts and restructurings, private equity funds and professional sports transactions.

Tom has represented commercial banks and other financial institutions as agents and lenders, as well as sponsors and corporate borrowers, in a wide range of financing transactions, including secured and unsecured financings; corporate recapitalizations; and acquisition, tender offer and other leveraged financings.

He also has represented a number of private equity funds and sponsors, together with certain of their portfolio companies, in connection with various types of sophisticated acquisition and other financing transactions involving a wide variety of industries.

In the workout and restructuring area, he has represented both corporate borrowers and institutional lenders in connection with pre-bankruptcy workouts and debtor-in-possession and Chapter 11 exit financings.

His professional sports experience includes transactions involving ownership transfers, team and league financings, and licensing and sponsorship arrangements. He has represented the National Hockey League in connection with a broad variety of matters and several ownership transfers and team financings, including transactions involving the Dallas Stars, St. Louis Blues, Nashville Predators, New York Islanders, New Jersey Devils, Pittsburgh Penguins, Washington Capitals, Winnipeg Jets, Arizona Coyotes, Carolina Hurricanes, Minnesota Wild, San Jose Sharks, Vegas Golden Knights and Toronto Maple Leafs.
